Terms of Service

1. Who we are

Skylite Financial is a trading name of Skylite Group Ltd, a company registered in England and Wales (company number 13535333), Office 64, Unit 5, 399-405 Oxford Street, Mayfair, London W1C 2BU. We provide accountancy, bookkeeping, company secretarial and filing services, delivered through our software platform with qualified human review where it matters. Our software can file directly with Companies House and with HMRC.

2. The service and your plan

Your plan sets out what we prepare, file and monitor for you. Core (£30/month) covers statutory accounts, the annual confirmation statement and the Corporation Tax return for a simple, low-turnover company — or, alternatively, Self Assessment only for a self-employed individual. Core does not include payroll or VAT. Growth (£50/month) adds continuous bookkeeping, VAT returns under Making Tax Digital, payroll for one director and the director's Self Assessment. Scale (£100/month) adds payroll for up to ten people (then £3 per person per month), Self Assessment for up to three directors, a quarterly management review and priority handling. Company formation (£139 one-off, including the £100 Companies House statutory fee) is available as a first step with any plan.

Nothing is ever filed without your approval. You are responsible for the accuracy and completeness of the information you give us, and statutory deadlines can only be met where information reaches us in reasonable time.

3. Billing

Plans are billed monthly in advance by card. The registered office address is billed yearly in advance (£99 per year), the virtual office yearly in advance (£250 per year) and the virtual landline monthly (£15 per month). Company formation (£139, including the £100 Companies House fee) and company sale/transfer services are one-off charges. Postage for any mail or parcels the virtual office forwards to you is charged at cost.

4. Services provided by our partners

4.1 Who provides what. Skylite Financial (a trading name of Skylite Group Ltd, company number 13535333) provides accounting, bookkeeping and tax services. It does not itself form companies or provide registered office, business or correspondence addresses. Those services are provided by: (a) company formation — 1st Formations Limited (company number 08861249), a Companies House authorised agent; and (b) registered office and business address (including the virtual office) — Office Serv Limited (company number 11153874), Unit A, 82 James Carter Road, Mildenhall, Suffolk IP28 7DE; (each a “Partner”), each under its own terms, which you accept directly with the Partner when you order.

4.2 Our role. For Partner services we act only as introducer and as your payment agent. When you order through us, we will: (a) with your agreement, pass your name, email address and proposed company name to the Partner so it can contact you; (b) collect one price from you; and (c) pay the Partner’s charge on your behalf and keep the balance as our fee.

4.3 What you do with the Partner. You give the Partner all the information it needs — including details of directors, shareholders and people with significant control, and identity documents — directly, not through us. The Partner carries out its own identity and anti-money-laundering checks, forms the company or provides the address, and delivers the service, documents and post to you. We do not submit, receive or handle any of this for you.

4.4 Responsibility. The Partner is responsible for providing its service. We are responsible for introducing you correctly, passing on your payment promptly, and refunding you if we fail to pay the Partner. If the Partner declines to act for you after its checks, we will refund the full price, less any Partner charge that is non-refundable under the Partner’s terms and was explained to you before you paid.

4.5 Your information. We share only the details in 4.2(a), and only with your agreement. Each Partner handles your information under its own privacy notice.

4.6 What each service includes. The registered office address is your company’s official address for correspondence from Companies House and HMRC. The virtual office is a business address for your general mail and parcels, with letters opened, scanned and emailed to you the same working day; it does not include a registered office. Postage for anything the Partner forwards to you is charged at cost.

5. Virtual landline (partner service)

The virtual landline is provided by Skyfone, the SAIG telephony service. You receive a UK business number with call forwarding to your chosen number. Skyfone's own terms and acceptable use policy also apply, and you consent to us sharing the details needed to set up the line.

6. Companies House and HMRC

Our software can file with Companies House and with HMRC. We are not part of, endorsed by, or acting on behalf of Companies House or HMRC, and we do not describe ourselves as authorised or recognised by them. Filing outcomes depend on the public registers' own validation and business rules; where a filing is rejected we will tell you why and put it right where the cause is ours.

7. Company sales and transfers

Our company sale and transfer product is a document-preparation and filing service, not legal advice, and we are not a law firm. Straightforward transfers are automated; where a sale has features that need proper legal advice, the product will tell you so rather than generate documents. Documents produced for sales with warranties or disclosures are drafts and should be reviewed by a solicitor before signing.

8. Data protection

We process your personal data as described in our privacy policy at skylite.group/legal/privacy. Where third-party suppliers fulfil an add-on, the minimum details needed to provide the service are shared with them as processors or independent controllers under their own policies.

9. Liability

Nothing in these terms limits liability that cannot be limited by law. Subject to that, our total liability in any 12-month period is limited to the fees you paid us in that period, and we are not liable for losses arising from information you did not provide, provided late, or provided inaccurately, nor for indirect or consequential loss. Third-party services (sections 4 and 5) are provided under the suppliers' own terms and our liability for them is limited to re-performing our part of the arrangement.

10. General

We may update these terms; material changes will be notified and apply from your next billing period. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
